本課程之目標，在協助東海企管之學員，瞭解民商法律之核心概念。民商法律之核心概念，包含私法自治、法人格獨立、股東權益最大化、投資人保障等原則。如能瞭解該等原則，對於將來從事企業管理之學員而言，一方面可以確保自我權益，不致誤觸法網，二方面可以輔助企業管理，達到綜效加成。為使學員達成上開課程目標，本門課將由依序介紹民商法律中最重要的幾部法典，搭配台灣、美國之業界實例，同時也安排企業參訪、業師演講，以求理論與實務兼具。

The goal of this course is to assist Donghai business management students to understand the core concepts of civil and commercial law. The core concept of civil and commercial law includes principles such as private law autonomy, legal personality independence, shareholder rights maximization, and investor protection. If you can understand these principles, for those who will be engaged in enterprise management, on the one hand, you can ensure your own rights and avoid misunderstandings.
