先略述基本法學及民法總則概念，作為修習商事法之預備。以公司法為主要架構輔以票據法及保險法，並將傳統之海商法以智財法取代，使學生有基本商事法學修養之外同時具有專利商標及著作權之應有觀念。啟發並鼓勵學生對商事法發生興趣，不僅灌輸商事法基本理論亦加強實例之研討，期使學生能學以致用。First, the concepts of basic jurisprudence and general principles of civil law are briefly introduced as a preparation for studying commercial law. With company law as the main structure, supplemented by negotiable instruments law and insurance law, the traditional maritime law is replaced by intellectual property law, so that students can have the proper concepts of patents, trademarks and copyrights in addition to basic commercial law training. To inspire and encourage students to become interested in commercial law, it not only inculcates the basic theories of commercial law but also strengthens the study of practical examples so that students can apply what they have learned.
一般所稱商事法包含公司法、海商法、保險法、及票據法等法律。上述四項法律與各種商業行為習習相關，尤其在國際貿易或國際企業經營中，上述法律更是各項商業行為的基本規範。本課程即以前述四項法律為討論內容，希望透過具體案例的討論，讓同學對規範商事行為的法律，有概括、基礎的瞭解。
Commonly referred to as commercial law, it includes company law, maritime law, insurance law, and negotiable instruments law. The above four laws are related to various business behavior habits, especially in international trade or international business operations, the above laws are the basic norms of various business behaviors. This course uses the above four laws as its discussion content. It is hoped that through the discussion of specific cases, students will have a general and basic understanding of the laws that regulate commercial conduct.
