透過授課、報告及討論方式引導同學認識及熟悉公司治理的相關議題，及法規或實務上的發展現況。相關主題包含了代理問題、道德危險、逆選擇、薪酬、董事會及股利政策或財務結構如何影響企業行為等區塊；藉由學術論文及時事增進同學們對於企業或經理人行為動機的了解，並進而判斷企業的治理品質。

Through lectures, reports and discussions, students are guided to understand and become familiar with corporate governance-related issues, as well as the current development status of regulations or practices. Related topics include agency problems, moral hazard, adverse selection, how compensation, board of directors and dividend policies or financial structures affect corporate behavior, etc.; through academic papers and current events, students can enhance their understanding of the behavioral motivations of companies or managers, and then judge the governance quality of companies.

此課程乃探討公司治理上會遭遇的相關議題。包涵董事會的設計，僱傭問題的探討，薪資獎勵的設計，股利政策，資金的選擇，資本結構的探討，企業併購，重整及倒弊的探討等議題。

This course explores relevant issues encountered in corporate governance. It covers topics such as the design of the board of directors, discussion of employment issues, design of salary incentives, dividend policy, fund selection, discussion of capital structure, corporate mergers and acquisitions, reorganization and fraud, etc.
