我國法學教育向來將公司法、票據法、海商法、保險法合稱為商事法，本課程宥於上課時數，本學期主要授課內容將集中於公司法與票據法。期中考前主要講授商事法總論與公司法，期中考後則講授票據法。本課程教學目標希望透過三學分的授課使財金系學生初步掌握我國公司法之架構，熟悉我國公司種類、董事會與股東會之運作、股份有限公司各種決議方式。票據法部分則希望學生熟悉我國票據種類、理解各種票據行為之異同，並掌握實務上保全票據權利之規定及技巧。Our country's legal education has always called Company Law, Voucher Law, Maritime Law and Insurance Law commercial law as commercial law. This course is the number of time in the previous course, and the main teaching content of this school will be concentrated in Company Law and Voucher Law. Before the midterm exam, we will mainly teach the summary of commercial law and the company law, and after the midterm exam, we will also teach the ticket awarding method. The teaching objectives of this course hope that through the three-score teaching, financial students can initially master the structure of our company law, be familiar with the various decision methods of our company types, board meetings and shareholders, and joint-stock companies. The vote method part hopes that students will be familiar with the types of votes in my country, understand the differences between various votes and acts, and master the regulations and techniques of practical preservation of vote rights.
