透過時事及期刊論文的閱讀與討論來說明並申論公司治理的相關議題或事件；學期中亦將視需要介紹與課程相關的資料庫及統計軟體。

Explore relevant issues of corporate governance; including agency issues, board of directors, equity structure, information disclosure, salary design, profit management, family and group, CEO replacement and replacement, responsibility and market mechanism, etc.
Describe and apply for related issues or events in corporate governance through reading and discussion of current affairs and journals; databases and statistical software related to courses will also be introduced during the course.

此課程乃探討公司治理上會遭遇的相關議題。包涵董事會的設計，僱傭問題的探討，薪資獎勵的設計，股利政策，資金的選擇，資本結構的探討，企業併購，重整及倒弊的探討等議題。

This course explores the relevant issues encountered in corporate governance. It includes board design, employment issues, salary award design, dividend policy, fund selection, capital structure exploration, enterprise merger, restructuring and defection discussion and other discussions.
