透過時事及期刊論文的閱讀與討論來說明並申論公司治理的相關議題或事件；學期中亦將視需要介紹與課程相關的資料庫及統計軟體。

Discuss related issues of corporate governance; including agency issues, board of directors, ownership structure, information disclosure, salary design, earnings management, family and group, CEO rotation and replacement, liability insurance and market mechanism, etc.
Explain and discuss issues or events related to corporate governance through the reading and discussion of current affairs and journal articles; course-related databases and statistical software will also be introduced as needed during the semester.

此課程乃探討公司治理上會遭遇的相關議題。包涵董事會的設計，僱傭問題的探討，薪資獎勵的設計，股利政策，資金的選擇，資本結構的探討，企業併購，重整及倒弊的探討等議題。

This course explores relevant issues encountered in corporate governance. It covers topics such as the design of the board of directors, discussion of employment issues, design of salary incentives, dividend policy, fund selection, discussion of capital structure, corporate mergers and acquisitions, reorganization and fraud, etc.
