教育目標 Course Target

1.本課程為一主題性、工作坊形式之創新課程,由許書銘老師與兩位外聘老師(陳智安老師、劉瑞霖老師)皆為資深業界師資,針對家族接班傳承規劃有非常豐富的經驗。 2.課程內涵主要包括以下6大主題: A.細說長榮 – 透過分組討論長榮實際案例,讓學員了解不同家族接班傳承工具的優劣處,並應用所學提出建議。 1.解析張榮發的遺囑 – 引導學員檢視遺囑所要達成的目標,以及實際執行遇到的問題。 2.張榮發使用的傳承工具 – 討論張榮發使用的接班傳承工具以及帶來的問題。 3.討論可能的改進方向 – 從本案例的解析,讓學員思考並研討未來家族接班傳承規劃應有的考量。 B.家族接班傳承規劃概論 – 使學員對於家族傳承規劃有較深入的了解。 1.家族接班傳承的迷思 – 傳承規劃不當的案例檢討以及錯誤傳承觀念的破除。 2.家族接班傳承規劃的面向 – 權衡接班傳程規劃的考量點,以全方位角度去審視家族接班傳承。 3.家族接班傳承常見的工具 – 常見工具的介紹以及實際運用作法。 4.家族接班傳承想法 – 傳承模式的探討。 5.家族接班傳承做法 – 討論家族辦公室的功能以及階段性的任務。 C.家族接班傳承實際案例學員討論與解析 – 透過實際案例討論,引導學員思考家族接班傳承規畫方向。 D.接班人的規劃 – 透過分組討論去研討接班人規劃的架構與設計思考。 1.傳承模式 – 討論單軌傳承、分治、共治等設計,理解不同傳承模式帶來不同的效果。 2.永續傳承的思考 – 認識永續傳承思考的面向,並討論傳子、傳賢及傳賢後家族成員在家族企業扮演的角色。 3.尋找理想的永續傳承模式 – 配合不同的家族結構及特性,引導學員尋找最理想的傳承模式。 E.尋找最佳的家族接班傳承規劃架構 – 了解不同家族接班傳承的工具以及傳承效果。 1.確定家族接班傳承要使用的工具 – 以希望達成之目標來選擇家族接班傳承工具。 2.家族控股公司 – 了解家族控股公司的重要性與功能。 3.股權信託及財產信託 – 了解股權及財產信託的重要性與功能。 4.家族憲章 – 了解家族憲章的重要性與功能。 5.家族辦公室 – 了解家族辦公室的階段性功能。 F.境外家族接班傳承規劃平台 – 使學員對於境外的傳承平台有較深入的了解。 1.家族財富管理 – 認識家族財富的管理以及資產配置及風險控管的重要性。 2.境外信託(股權信託、財產信託、慈善信託) – 認識境外信託平台的操作。 3.境外基金會 – 認識境外基金會的成立與功能。 4.未來子孫國際化的安排 – 子孫國際化安排的實務與思考。 5.未來家族投資趨勢 – 認識影響力投資及其他趨勢。 1. This course is an innovative course with a theme and workshop form. Teacher Xu Shushang and two external teachers (Teacher Chen Zhian and Teacher Liu Ruilin) ​​are both experienced in the deep industry and have a very rich experience in the family succession planning. 2. The course content mainly includes the following 6 major themes: A. Details of the Long-Talent – ​​discuss the actual cases of Long-Talent through sub-groups, let students understand the advantages and disadvantages of succession tools for different families, and apply the learning to make suggestions. 1. Analyze Zhang Rongfa’s remedies – guides the students to see the goals they want to achieve and the problems encountered in actual execution. 2. The inheritance tools used by Zhang Rongfa – discuss the successor inheritance tools used by Zhang Rongfa and the problems brought by him. 3. Discuss possible directions of improvement – ​​From the analysis of this case, let the students think and discuss the considerations that are necessary for future family succession planning. B. Overview of Family Succession Contribution Planning – Gives students a deeper understanding of Family Contribution Planning. 1. Myths of family succession inheritance – review of inappropriate inheritance planning and the breaking of misconduct concepts. 2. The orientation of the family succession inheritance plan – Considerations of the plan for the succession process, and review family succession inheritance from a comprehensive perspective. 3. Common tools that inherit common tools from family succession – introduction to common tools and practical methods of use. 4. Family succession inheritance ideas – an exploration of inheritance model. 5. Family succession inheritance practices – discuss the functions of the family office and phased tasks. C. Discussion and analysis of family succession inheritance actual case students – Through actual case discussion, students are guided to think about the direction of family succession inheritance specifications. D. Successor planning – discuss the structure and design thinking of the successor planning through sub-group discussions. 1. Inheritance model – discuss the designs of inheritance, division and governance, and co-governance, and understand that different inheritance models bring different effects. 2. Thoughts on Continuous Inheritance – Understand the perspectives of thinking forever, and discuss the roles of family members in the family business after transmission, transaction and the subsequent transmission. 3. Find an ideal permanent inheritance model – In line with different family structures and characteristics, guide students to find the most ideal inheritance model. E. Find the best family succession inheritance planning structure – understand the tools and inheritance effects of different families. 1. Determine the tools to use for family succession inheritance – choose the tools to inherit family succession with the goal you hope to achieve. 2. Family Holding Company – Understand the importance and function of family holding companies. 3. Share Trust and Property Trust – Understand the importance and function of shareholding and property trust. 4. Family Chalk – Understand the importance and function of family Chalk. 5. Family Office – Understand the stage-by-stage sexual functions of family offices. F. Overseas Family Succession and Recipient Planning Platform – Gives students a deeper understanding of overseas inheritance platforms. 1. Family wealth management – ​​Understand the importance of family wealth management, asset allocation and risk control. 2. Overseas trust (share trust, property trust, charitable trust) – recognize the operation of overseas trust platforms. 3. Overseas Foundation – recognize the establishment and function of overseas foundations. 4. Future arrangements for Zisun Internationalization – The practice and thinking of Zisun Internationalization arrangements. 5. Future family investment trends – Awareness and impact investment and other trends.
