Family Business and Corporate Governance
教育目標 Course Target
台灣大部分的企業都是家族企業，即便是上市櫃公司，大部分也是家族企業。
家族強調感性，公司強調理性。上市櫃公司如何做好家族治理與對公司治理非常重要。
本課程主要以家族憲章為經，公司法及證交法為緯，讓學生學習如何制訂家族憲章、家族辦公室、召集及召開股東會、召集及召開董事會，了解董事會、監察人、一般董事、獨立董事及董事長之職權與義務，如何善盡企業社會責任以及如何避免誤蹈背信、股票操縱、內線交易、財報不實、偽造文書及未盡善良管理人等罪責。
Most of Taiwan's enterprises are family businesses, and even listed counter companies are mostly family businesses.
The family emphasizes sensibility, while the company emphasizes rationality. How to do a good job in family governance in listed counter companies is very important for corporate governance.
This course is mainly based on family constitution, company law and certificate law, allowing students to learn how to prepare family constitution, family office, convene and convene shareholders, convene and convene board meetings, and understand the rights and obligations of board directors, supervisors, general directors, independent directors and chairman, how to fulfill corporate social responsibility and how to avoid crimes such as breach of trust, stock manipulation, internal transactions, false financial statements, false writing, and failure to be kind to managers.
