107.8.1.公司法大幅度修正，因此針對理論的建構、實務上的運作適用，均是本課程預計授課的內容。公司是一般最常見的企業組織，且在經濟活動中扮演不可或缺的角色，因此從公司設立、組織 運作、企業籌資、組織變更、解散等在公司法中均詳為規範，本課程透過理論介紹與案例分 析，使同學對公司法制有基本的瞭解並具有解決公司法相關案例之能力。本課程希望同學們能將自己設定為股東、公司董事、經理人的角色來學習公司法，除了熟悉新修正公司法的法條內容外，也須了解經濟部主管機關的函釋內容，如此始能真正瞭解公司法制並具有解決公司法相關案例之能力。

107.8.1. The Company Law has been greatly revised, so the structural and practical application of theoretical discussions are all the contents of the courses planned to be taught. The company is the most common corporate organization and plays an indispensable role in economic activities. Therefore, the establishment, organizational operation, corporate income, organizational change, dissolution, etc. are detailed in the Company Law. This course provides students with a basic understanding of the company's legal system and the ability to solve cases related to the Company Law through theoretical introduction and case analysis. In this course, students can set themselves as shareholders, company directors, and managers to learn the Company Law. In addition to being familiar with the legal content of the newly revised Company Law, they also need to understand the letters related to the Economic Department’s supervisory authority, so that they can truly understand the company’s legal system and have the ability to solve cases related to the Company Law.
