由於市場變革與科技進步快速,企業購併與重組的活動與日俱增,影響之層面亦愈來愈廣。本課程探討購併與重組之重要觀念,從購併之種類、成敗因素探討、購併策略、價值評估、風險管理、至價值創造策略等,配合購併實證研究與個案研討,使購併與重組之概念完整呈現,協助學生長握提升企業價值之要件。本課程以理論基礎開始,介紹購併之種類,探討購併成敗因素,進而研究購併策略、價值評估、購併的風險管理、與價值創造策略等。理論搭配實證研究與個案討論,期使購併與重組之概念完整呈現,協助提升企業價值。上課主要以研討方式進行。As market changes and technological progress are rapid, corporate purchases and reorganizations are increasing day by day, and the impact is becoming more and more widespread. This course explores the important concepts of purchasing and reorganization, from the types of purchasing, exploration of success factors, purchasing strategies, value assessment, risk management, value creation strategies, etc., and cooperates with purchasing and practical research and case discussions, so that the concepts of purchasing and reorganization are fully presented, and helps students grasp the requirements for improving corporate value. This course starts with a theoretical basis, introduces the types of purchases, explores the factors that lead to purchases, and then studies purchase strategies, value evaluation, risk management of purchases, and value creation strategies.
