This course introduces theoretical background of private placements and venture capitals. The lectures cover several aspects related to these two topics. First, the theoretical background of private placements and venture capitals is delivered in the class. The comparison of regulation for these two aspects is discussed. The class also covers the choice of timing and participants involved. Case study is presented in the lecture.
