本課程希望透過最高法院判決之研討，以瞭解公司法於司法實務之詮釋運作且整理出主要爭議，進而討論爭議產生原因，並提出現行法應有的解釋方向及修法建議。This course hopes to understand the interpretation and operation of company law in judicial practice through the study of the Supreme Court's judgments and sort out the main disputes, then discuss the causes of disputes, and propose the direction of interpretation and amendments to the current law.
1.各級法院近五年關於公司法之判決(由授課老師指定)。
2.授課老師指定閱讀之期刊論文。
1. Judgments of courts at all levels on company law in the past five years (specified by the instructor).
2. Journal articles assigned by the lecturer to read.
