教育目標 Course Target
本課程希望透過最高法院判決之研討，以瞭解公司法於司法實務之詮釋運作且整理出主要爭議，進而討論爭議產生原因，並提出現行法應有的解釋方向及修法建議。
This course hopes to understand the interpretation and operation of company law in judicial practice and sort out the main disputes through the study of the Supreme Court's judgments, and then discuss the causes of disputes and propose the direction of interpretation and amendments to the current law.
課程概述 Course Description
本課程係以專題方式進行，即是每一學期會設定一個中心主題，例如公司之機關運作。在每學期的中心主題範圍內，再設定各不同議題，而每周針對各議題探討相關之案例、法律規範及學說。此外，為使同學能更積極參與本課程，因此，每一位修課同學均須繳交書面報告及進行口頭報告。
This course is conducted in a thematic manner, that is, a central theme will be set for each semester, such as the organizational operation of a company. Within the central theme of each semester, different topics are set, and relevant cases, legal norms and doctrines are discussed for each topic every week. In addition, in order to enable students to participate more actively in this course, every student taking the course must submit a written report and give an oral report.

2.授課老師指定閱讀之期刊論文。
1. Judgments of the Supreme Court on company law in the past ten years (designated by the instructor or selected by the students themselves).
2. Journal articles assigned by the lecturer to read.
