Seminar on Corporate Governance
教育目標 Course Target
此課程乃在於探討公司治理的相關議題，包含代理問題、董事會、股權結構、薪資、股利、高階主管輪替、盈餘管理、資本結構及企業併購等；期望藉由動機與衝突的角度來解釋企業的結構與行為，及其所衍生的企業價值與股東財富。
課程中主要透過時事、影片及期刊論文的討論來引導及申論當週所欲涵蓋的主題（詳細授課內容請參閱各週教學進度），學期中亦將視需要介紹公司治理的相關資料庫。
This course is about exploring the relevant issues of corporate governance, including agency issues, board of directors, equity structure, salary, dividends, senior executive replacement, profit management, capital structure and enterprise mergers, etc.; it is expected to explain the structure and behavior of the enterprise from the perspective of motors and conflicts, and its derived corporate value and shareholder wealth.
During the course, we will introduce and apply for the topics you want to cover during the week through discussions of current affairs, videos and journals (for details, please refer to the teaching progress of each week). During the course, we will also look at the relevant databases that need to introduce corporate governance.
