大陸法系(civil law)與英美法系(common law)並列為世界兩大法系，對於屬於大陸法系的我國，法學院學生對於英美法系的各項法律概念尤感陌生。但隨著全球化的發展，大陸法系與英美法系有融合之勢，且對於以外貿為主的台灣而言，商業活動中各項契約常見以英美法系中的美國法、英國法為準據法(governing law)，因此，實有瞭解英美契約法並與我國契約法進行比較研究之必要。本課程籍由介紹英美契約法之各項原則，並與我國法作比較法研究，尤其著重於剖析各項英文合約，使同學瞭解英美契約法之各項概念如何於實務中應用。

Civil law and common law are the two major legal systems in the world. For my country, which belongs to the civil law system, law students are particularly unfamiliar with the legal concepts of the common law system. However, with the development of globalization, the civil law system and the Anglo-American legal system have tended to merge. For Taiwan, which focuses on foreign trade, various contracts in commercial activities often use American law and British law in the common law system as the governing law. Therefore, it is necessary to understand the Anglo-American contract law and conduct a comparative study with our country's contract law. This course introduces various principles of Anglo-American contract law and conducts comparative legal research with Chinese law. It focuses on analyzing various English contracts so that students can understand how various concepts of Anglo-American contract law are applied in practice.
